双方就甲方许可乙方使用甲方相关产品配方及乙方保守甲方该配方商业秘密等有关事项，订定下列条款共同遵守：
This Agreement is entered into by and between both parties on Party A authorizing Party B to use Party A’s product formula and Party B’s obligations of keeping secret of the formula details, and binds on both parties.
第一条 许可使用产品配方定义
Article 1. Definition of authorized product formulas
本协议所指配方，系指甲方所提供的

第二条 保密义务
Article 2. Non-disclosure obligations
1、以上甲方配方属于甲方商业秘密。
1. Above Party’s formulas are Party A’s business secret.
商业秘密，系指不为公众所知悉、能为权利人带来经济利益，具有实用性并经权利人采取保密措施的设计资料、程序、产品配方、制作工艺、制作方法、管理诀窍、客户名单、货源情报、产销策略等的技术信息和经营信息。
Business secret means the technical information or business information that is not familiar to the public, can bring economic benefit to the obligee, is practical and under the obligee’s privacy measures, including but not limited to design information, programs, product formulas, manufacture techniques, methods, management know-how, list of clients, goods supply information, production & sales strategies etc.
2、乙方对甲方所提供的配方（包括但不限于配方材料及搭配比例）原件及相关一切资料应严格保密，并本着谨慎、诚实的态度，严格管理，采取一切必要、合理措施保护配方（包括但不限于双方签订的相关保密合同及协议）。
2. Party B shall keep confidentiality of the original of formulas, including but not limited to formula ingredients and mixing proportion, provided by Party A and all relevant data, and take all necessary and proper measures to strictly control and protect, in a cautious and honest attitude, said formulas, including but not limited to the Non-disclosure Contract and Agreement entered into between both parties.
3、甲方许可乙方使用上述配方，乙方不得再许可第三方使用。
3. Party A authorizes Party B to use aforesaid formulas, however Party B shall not authorizes a third party to use them.
本协议项下配方的许可使用，除依本协议约定程序经审批后方可生效外，乙方承诺：在使用期间及停止使用后，未经甲方同意，不得以泄露、告知、公布、发布、出版、传授、转让或者其他任何方式使任何第三方（包括按乙方操作流程无需、不应知悉该项秘密的乙方其他职员）知悉属于甲方的配方信息，也不得在履行职务之外或未经许可使用上述信息。
The use of the formulas authorized under the Agreement shall become effective only after the approval in accordance with the procedure agreed in the Agreement, besides, Party B promises that, in the pause period or after termination of the use, without Party A’ consent, it will not make known any third party, including those Party B’s employees who need not or shall not be informed of the secret according to the working procedure by means of disclosure, notice, publicity, issuance, publishing, teaching, transfer or any other means the information of Party A’s formulas, or use said information in the occasions other than implementing its Agreement obligations or use it without permission.
4、乙方应对其员工严格管理，并对所有使用配方或记载配方的设备、仪器、文件（包括但不限于电脑、硬盘、移动存储器、废纸、测试残留物或其他废弃物等）妥善保管或采取排除泄密可能的措施后方可丢弃，严防配方外泄。
4. Party B shall carry out strict management to its employees and well keep all equipment, instruments and files which are used to utilize or record the formulas, including but not limited to computers, hard discs, flash memories, waste paper, test residue or other abandoned substances etc., or abandon them after the measures of no disclosure possibility are taken in order to strictly prevent formulas from disclosure.
5、本协议项下的配方属甲方所有，甲方有权随时收回配方的使用权。
5. The formulas under the Agreement vest in Party A, and Party A has the right to take back Party B’ right to use the formulas.
任何时候，只要收到甲方的要求（包括但不限于书面、邮件、电话、传真等形式），乙方应立即归还甲方要求的所有配方相关资料和文件（包括但不限于含配方的任何载体及其任何或全部复印件或摘要）。如果该资料和文件属于不能归还的形式或已经复制或转录到其他资料或载体中，乙方应交由甲方进行删除，且乙方保证不再留存复制件。
At any moment, upon the receipt of Party A’s requirements in the form of writing, mail, call, fax and so on, Party B shall immediately return to Party A all data and files relevant to the formulas required by Party A, including but not limited to any formula carrier or any or all the copies or digests thereof. If the data or file is in the non-returnable form or has been copied or re-recorded to other data or carrier, Party B shall deliver it to Party A to delete and ensures that no copy is retained.
6、乙方在使用期间，单独或与他人共同完成的对配方的改变、改进的所有权、相关知识产权均属于甲方所有。
6. In the period that Party B uses the formulas, the proprietary right to any change or improvement of the formulas made by Party B individually or together with other parties and relevant intellectual property right all belong to Party A.

第三条  特别告知
Article 3. Special notices
1、颜色配方管理软件Colour Composer版权属希必思色浆贸易（上海）有限公司所有并已许可甲方使用。
1. Copyright of the color formula management software Colour Composer vests in CPS Color Trading (Shanghai) Co., Ltd. and has been authorized to Party A for use.
2、本协议项下配方所实现的颜色允许与色卡存在一定的差异，任何基础漆和色浆体系的变动、调色设备本身精度、人员操作失误等因素也会引起额外的颜色偏差，使用时乙方需严格按配方中的基础漆和色浆的种类和数量搭配。对于调色完成的色漆使用方法及注意事项，乙方需参考基础漆的相关说明。
2. It’s acceptable that colors attained using the formulas under the Agreement differ from the color cards to some extend, and any change of base paint and color paste system, precision of color mixing equipment or operator’s error etc. may also lead to extra color deviation, so Party B shall strictly follow the mixing ratio of base paint and color paste specified in the formula during preparation, and shall refer to instructions of base paint on the use or notices of mixed color paint.

第四条  违约和赔偿
Article 4. Breach of agreement and compensation
    乙方如因违反本协议的规定，乙方应当赔偿甲方因此受到的全部直接及间接损失。
If Party B violates stipulations in the Agreement, Party B shall compensate Party A for all direct or indirect losses caused thereby.
第五条 争议解决
Article 5. Solution of disputes
因本协议引起的纠纷，双方应协商解决。如果协商解决不成，提交协议签订地甲方所在地法院解决，适用中国法律。
Any dispute in connection with the Agreement shall be solved through negotiation by both parties. If negotiation fails, the dispute shall then be submitted to the court of party A ‘s area where the Agreement is reached for settlement, during which Chinese laws shall governs.

第六条 其他规定
Article 6. Other stipulations
1、本协议须经甲方人员审核及签字及乙方代表签字后生效。
1. The Agreement shall become effective after examined and signed by Party A’s personnel and signed by Party B’s representative.
2、双方经协商一致可另行签订书面变更或补充本协议。
2. A written change or supplementary agreement may be entered into after negotiation and mutually agreed by both parties.
3、本协议中英文版各一式两份。中英文版本有不一致的，以中文为准。
3. The Agreement is in duplicate in both Chinese and English versions, and the Chinese version shall prevail in case of any difference therein.
双方确认，在签署本协议前已仔细审阅过协议的内容，并完全了解协议各条款的法律含义。
Both parties confirm that before signing the Agreement, they have fully examined the contents of the Agreement and have full knowledge of the legal meaning of each clause therein.
