Deliverable
The design(s), product(s), service(s) and/or other materials to be delivered by the supplier(s) to Tyco under the terms of a Work Order.

Derivative Works
A work that is based on one or more preexisting work(s) and which, if prepared without authorization of the owner of the preexisting work(s), would constitute a copyright infringement.

Intellectual Property Rights
All forms of intellectual property rights and protections that may be obtained including, without limitation, all right, title and interest in and to all foreign, federal, state and common law rights relating to: (i) Letters Patent and all filed, pending or potential applications for Letters Patent, including any reissue, reexamination, division, continuation or continuation-in-part applications now or hereafter filed; (ii) trade secret rights and equivalent rights; (iii) copyrights, mask works, and other literary property and author’s rights, whether or not protected by copyright or as a mask work; and (iv) trademarks, trade names, symbols, logos, brand names and other proprietary indicia.

One Source to One Target Language Pairs – except for English as a target
For each lot, the Cost Breakdown lists the origin and target languages in which Tyco anticipates doing business. Of these languages listed, there is one source language paired uniquely with one target language.

Translation - New Content
This category is the sum of what is analyzed in the No Match and 50% - 74% line items. New content is content which is new or unique to the current source and does not have a comparable match in the translation memory. A complete translation and copy edit process is required for all content which is new.

Previously Translated Text
Upon receiving updates to previously translated content, Supplier shall be required to identify and extract changes to the text at the paragraph level or appropriate level according to type and context of the text. The extracted text only is to be processed for translation. If applicable, additional charges for text extraction may be classified as an hourly rate.

Partial Match High
This category is the amount of what is analyzed in the 95% - 99% line item. Partial match is content that is comparable to content which has been translated and currently exists within the translation memory. This content does not require a full translation and copy edit process. A native linguist will update all content identified as a partial match, performing all translation or editing necessary to make the current string a 100% match with the current source content.

Partial Match Low
This category is the sum of what is analyzed in the 75% - 84% and 85% - 94% line items. Partial match is content that is comparable to content which has been translated and currently exists within the translation memory. This content does not require a full translation and copy edit process. A native linguist will update all content identified as a partial match, performing all translation or editing necessary to make the current string a 100% match with the current source content.

X, Repetitions and 100% Matches
This category is the sum of what is analyzed in the 100%, Repetitions, and Xtranslated line items. This content is the same as content which has been previously translated and currently exists within the translation memory. This content will not require translation or copy edit. Tyco will pay for translation memory management to address any memory pollution as a separate hourly charge. Tyco maintains a commitment to efficient use of Trados® translation technology and translation memories, and it has historically been our policy to not pay for 100% matches at a "per word" rate, but to pay for Linguistic QA on an hourly rate basis as part of the translation and quality process. These Linguistic QA hours have been included on the Cost Breakdown Worksheet under the "Localization QA" category in Professional Services. To this end Tyco is mandating that it will not pay on a "per word" basis for 100% matches for any Translation Services (Suppliers are to enter $0.000 in the cost breakdown for 100% matches), and that Suppliers enter an hourly rate for "Localization QA" which would be the hourly rate paid by Tyco to the awarded Supplier for both Linguistic QA and Localization QA.

100% Perfect Match
100% Perfect Match is software UI content which when leveraged from a previous release of the same software matches on both exact matching string and the unique string ID. When both string and String ID have not changed from previous release to current release the leverage is 100% Perfect match and no review is required. (Suppliers are to enter $0.000 in the cost breakdown for 100% Perfect match).

Translation Memory Management
This includes all direct hours spent exclusively on maintaining, updating, and modifying the existing translation memories, or likewise creation of new memories. Further, this compensates for any remedy of memory pollution introduced by inaccurate 100% matches. Reference "X, Repetitions and 100% Matches".

Glossary Management
This includes all direct hours spent exclusively on maintaining, updating, and modifying the existing glossaries and style guides, or likewise creation of new glossary content.

Application Localization
This includes all hours spent on File Preparation and Build Installation as it pertains to any of the Tyco product line. This work should be charged at an hourly rate. Tyco expects the Supplier to provide an initial estimate of scope. Any work beyond this scope is not allowed without prior authorization from Tyco.

Help Localization
This includes all hours spent on File Preparation, Link Checking and In-context review, as it pertains to any of the Online Help systems of any Tyco product. This work should be charged at an hourly rate. Tyco expects the Supplier to provide an initial estimate of scope. Any work beyond this scope is not allowed without prior authorization from Tyco.

Documentation Localization / Desktop Publishing (DTP)
This includes all direct hours spent exclusively on preparing and building the documents for each locale. Services performed to localized documents that are in MS Word, Quark, PowerPoint, PDF, Excel and other publishing environment formats. Services include but are not limited to the work associated with populating each document with the appropriate content and correcting layout and structure issues that result from translation and content expansion.

Web Localization
This includes time spent preparing and building the Tyco marketing related websites for each locale.

Multimedia Localization
This includes all direct hours spent exclusively on preparing and building Tyco flash demonstrations and other multimedia formats for each locale

Screen Captures
This includes all direct hours spent exclusively on making screen shots and preparing them for inclusion into Tyco localized material.

Graphic localization
This includes all direct hours spent exclusively on services associated with modifying images and text located in technical specifications, drawings, or manufacturing prints that require localization. Localization of specifications which are delivered to the Supplier in a standard image file format, namely pdf, tif, jpeg and hardcopy, are treated as a separate graphic localization service and rate structure. The Supplier has established a recurring process to deal specifically with these projects, whose resulting deliverable back to Tyco shall be in electronic format.

Graphic Localization - Technical Specifications: Engineering Prints or Drawings
This includes all direct hours spent exclusively on services associated with modifying images and text located in technical specifications, drawings, or manufacturing prints that require localization. I18N Engineering
This includes all direct hours spent exclusively on modifying the application code and resource files for the purposes of internationalizing the code base. All internationalization efforts must be specifically defined and agreed upon with Tyco.

Linguistic & Localization QA
This includes all direct hours spent exclusively on Localization QA services, including creation of linguistic quality assurance plans, execution against those plans and compilation of information from the results of the quality assurance testing. Likewise, it includes all direct hours spent exclusively on Linguistic QA services, such as interim and final linguistic QA, and interim and final quality proofreading.

Functional QA / I18N
This includes all direct hours spent exclusively on creating functional quality assurance plans, executing against those plans and compiling information from the results of the quality assurance testing.

QA Management
This includes all direct hours spent exclusively on quality assurance management of Tyco projects IT/IS Support This includes all direct hours spent exclusively on setting up the infrastructure necessary to support project specific networks. IT/IS support must be specifically identified and approved in the Work Order for a project. Any modifications to the Work Order must be approved in a change order signed by Tyco.

Consulting
This includes all direct non-project management hours spent exclusively on providing consultative support for specific and complex globalization issues.

Project Management
This includes all direct hours spent exclusively on creating and tracking project schedules, coordinating project resources, and project management time in coordination meetings. For the purposes of this RFQ project management time should be charged as a percentage of project cost and bid in the separate lot for project management.
